This has always been the case in GearCity. You need to spin them off as healthy companies. Include some factories and branches and a healthy lineup of vehicles. If you don't, 9 times out of 10 they will bankrupt.
Anyway, the short of it is, If you want the factory district production management, Mega Menu (computer in the office), upper left hand corner, allows you to select districts.
Anything else, I would suggest starting a new game and enabling the old production system in the new game settings.
Only to be sure that I don't misunderstand: I have to gave my existing branches/shops from the main company to the sub-company. Than they are gone and I have to open new ones for the main company? Or can I open 2 shops in one city - one for the main and one for the sub companie?
